IRS Shares Initial CARES Act Plan Loan & Distribution Relief Guidance

Section 2202 of the Coronavirus Aid, Relief, and Economic Security Act (CARES Act), enacted on March 27, 2020, provides for special distribution options and rollover rules for retirement plans and IRAs and expands permissible loans from certain retirement plans.

While it anticipates issuing further guidance, the Internal Revenue Service (“IRS”) on May 4 provided preliminary guidance in question and answer format titled Coronavirus-related relief for retirement plans and IRAs questions and answers.

Employers, Benefit Plans & Exempt Org: Prepare For Shortened Deadlines & Other Changes To IRS Employee Plan & Exempt Organization Exam Documentation Request Procedures

Heads up tax-exempt and governmental entities, employer and other qualified employee benefit plan sponsor, fiduciaries, administrators, and recordkeepers and their management, accountants, attorneys, and other service providers and advisors.  Changes to the procedures that Internal Revenue Service (IRS) Tax Exempt and Government Entities TE/GE examiners use to make and enforce Information Document Request (IDR) in connection with an audit or other examination make it more important than ever that taxpayers use special care to collect, organize and maintain all of the data and documentation that examiners are likely to request in IDR and take other steps to prepare in advance to respond to an IDR.

New procedures announced in the February 27, 2017 Memorandum For All TE/GE Examiners On New Process For All Information Document Requests and scheduled to take effect April 1 seek to expedite the examination process and reduce backlogs.  To accomplish this, the new procedures impose specific, tightened timelines for responding to IDRs and IRS follow and enforcement of data and document productions demanded by an IDR.  As part of these changes, the new procedures shorten the time that the examiners will issue early subpoena warnings and subpoenas to compel taxpayers to produce requested data.

Taxpayers unable to respond in a timely fashion risk of both triggering these perilous enforcement procedures and an enhanced risk that IRS examiners will view the delay as an indication that the taxpayer may not be using the internal controls and processes expected by the IRS rules.  Accordingly, taxpayers should seek advise from experienced legal counsel about the policies, practices, data and information they might be expected to need to respond to a IDR or other government investigation, recommendations for conducting their operations to promote their ability to efficiently assemble and produce the necessary data, records and other information to respond to a IDR or other investigation, audit or enforcement action, and other appropriate steps to position their organizations timely to recognize and produce the often substantial data generally demanded by an IRD and minimize risks of liability likely to arise from an IRS examination or other governmental or private investigation or action.

IRS FAQ Addresses Determination Letter Program As Applied To Multiple Employer Plans

Multiple employer plans, -i.e., a plan maintained by two or more employers that don’t have sufficient overlapping ownership to be considered a single employer for purposes of the Internal Revenue Code (Code) or other laws-can be attractive options for some plan sponsors to minimize their individual costs for offering qualified deferred compensation or other employee benefit plans. Sponsors, fiduciaries and participating employers involved with these arrangements need to keep in mind, however, that these arrangements also often trigger special legal rules, exposures and operational challenges under the Internal Revenue Code (Code), the Employee Retirement Income Security Act (ERISA) and other laws.

One of these issues can be the scope of protection that a determination letter issued to a plan sponsor of a multiple employer plan. To help clarify some common questions about the treatment of multiple employer plans in its determination letter program, the Internal Revenue Service (IRS) on March 30, 2015 published a new set of “Frequently Asked Questions” (FAQs) that provide some insights about the IRS’ current position on some of these issues, subject to the understanding that IRS does not consider its answers to frequently asked questions as appropriate for citation as legal authority. Subject to this disclaimer, the new FAQ states:

Does each adopting employer have to come in for an individual determination letter?

No, it’s not necessary for all adopting employers to apply for a determination letter on Form 5300, Application for Determination for Employee Benefit Plan. The sponsors of the plan have two choices:

  1. Submit just for a determination letter on the plan; or
  2. Submit for letter on the plan and a letter for each employer maintaining the plan who wants an individual letter. See Revenue Procedure 2015-6, section 10.

Are the adopting employers required to give Notice to Interested Parties if they are not coming in for individual letters?

Yes, each employer must provide notice to interested parties. The rule permitting one consolidated determination letter for a multiple employer plan does not change the “Notice to Interested Parties” requirement.

Do the employers maintaining the plan have reliance on the determination letter issued to the plan?

Yes. Revenue Procedure 2015-6, section 10, states: “An employer maintaining a multiple employer plan can rely on a favorable determination letter issued for the plan except with respect to the requirements of §§ 401(a)(4), 401(a)(26), 401(l), 410(b) and 414(s), and, if the employer maintains or has ever maintained another plan, §§ 415 and 416.”

Is a volume submitter plan’s submission cycle affected if it changes to a multiple-employer plan?

No, conversion of a volume submitter (VS) plan to a multiple-employer plan does not take the plan off of the 6-year remedial amendment cycle. A VS plan may be designed to be used as either a single-employer or as a multiple-employer plan. Conversion occurs when the adopting employer decides to allow an unrelated employer to also adopt its VS plan. Even if the employer had to modify the VS plan to allow it to be used as a multiple-employer plan, this would not remove the employer from the 6-year cycle because a multiple employer plan is not an impermissible plan type for a VS plan.

What form is used to request a determination letter for a VS plan that was modified to be a multiple-employer plan?

An employer requesting a determination letter for a VS plan that was modified for use as a multiple-employer plan should file Form 5300 (not Form 5307). The Form 5300 has to be used because the Form 5307 does not accommodate filings by multiple- employer plans. If the employer has not modified the VS plan at all, for example, because the VS plan allows for use as either a single-employer or as a multiple-employer plan, the employer has reliance on the VS advisory letter issued to the document provider and should not file for its own determination letter.

5/11 Deadline To Comment On Proposed Rule On Charter School Plan As Government Plan

May 6, 2015

Monday, May 11, 2015 is the deadline to submit comments about proposed regulations which would address the conditions under which a State or local retirement system that covers employees of a public charter school will qualify as a “government plan” under Internal Revenue Code (Code) Section 414(d). The Department of Treasury and Internal Revenue invited the comments on its proposed regulation in Notice 2015-7.  Interested organizations concerned about the treatment of such arrangements should review the proposed regulations and comment as soon as possible and by May 11.

IRS Urges Preparers to Renew PTINs for 2012

December 15, 2011

The Internal Revenue Service is reminding tax return preparers to renew their Preparer Tax Identification Numbers (PTINs) before year’s end. All 2011 PTINs will expire on Dececember 31 and must be renewed annually.  Tax preparers can renew by loging in  here.  The fee to renew is $63.

According to the IRS, preparers who applied for PTINs using a paper Form W-12 last year are encouraged to renew online. An activation code and instructions were mailed to each paper applicant for this purpose.  Individuals who prefer to renew their PTIN on paper must mail a Form W-12, IRS Paid Preparer Tax Identification Number Application and Renewal.  The response time is 4 to 6 weeks.

IRS Exempts Enrolled Retirement Plan Agents From PTIN Requirement

The Internal Revenue Service has announced that enrolled retirement plan agents will not be required to obtain a preparer tax identification number (PTIN)

Notice 2011-91 will provide that enrolled retirement plan agents are not required to get a preparer tax identification number.  Notice 2011-91 is scheduled for publication in Internal Revenue Bulletin 2011-47 on November 21, 2011.

Congress & Labor Department Considering Tightening of Retirement Plan Regulations

With health care reformed passed, Congressional leaders are considering the need to change federal retirement plan rules under the Employee Retirement Income Security Act or other laws.  Employer and other retirement plan sponsors, fiduciaries, administrators, advisors and vendors should keep a close eye out for legislation or regulation that would impose additional obligations on the administration of retirement plans in light of this new scrutiny.

In June 16, 2010 testimony before the Senate Special Committee on Aging, Assistant Secretary for the Employee Benefits Security Administration (EBSA) Phyllis Borzi discussed steps the Labor Department is taking to explore lifetime income options for participants and beneficiaries in private-sector retirement plans.  Her June 16 testimony, Ms. Borzi told Congress members the IRS and Labor Department are “committed to exploring what can be done through interpretation, regulation and legislation” to address the shift of financial risks of retirement to employees arising from the shift from defined benefit to defined contribution plans.

Ms. Borzi indicated the Departments are looking at regulatory and other changes to provide better information and tools to require or encourage retirement plans to offer lifetime income options and communication and other tools to help workers better prepare to make their savings last throughout their retirement years.  She also reported that more than 800 comments were received in response to a Request for Information on lifetime income option alternatives jointly issued by the Labor Department and Internal Revenue Service.  Ms. Borzi indicated that the Request for Information is intended to start a national dialogue about the reforms needed in this area and how best to address those needs.

Public policy initiatives have primarily focused on the accumulation stage of retirement planning. Only recently has there been a greater focus on the decumulation stage of retirement, and what workers and retirees do upon receipt of their retirement savings. Given the potential utility of lifetime income to participants in efficiently constructing their personal retirement incomes, Ms. Borzi told Congress the Labor Department will be considering if additional information could assist participants in this regard, and what impediments exist to providing such information. Some policy makers believe that providing participants with both the lump sum value of their accounts and the value of an equivalent income stream would be very valuable to workers who have to figure out how to make their savings last throughout their retirement years.

Employee Benefit Plan Sponsors & Fiduciaries Urged To Review Bonding, Credentials of Staff & Service Providers Under ERISA

Businesses sponsoring employee benefit plans and officers, directors, employees and others acting as fiduciaries with respect to these employee benefit plans should take steps to confirm that all of the appropriate fiduciary bonds required by the Employee Retirement Income Security Act of 1974, as amended (ERISA) are in place, that all employee benefit plans sponsored are appropriately covered, and that all individuals serving in key positions requiring bonding are covered and appropriately qualified to serve in that capacity under ERISA and the terms of the bond.  Adequate attention to these concerns not only is a required component of ERISA’s fiduciary compliance, it also may provide invaluable protection if a dishonesty or other fiduciary breach results in a loss or other exposure.

ERISA generally requires that every employee benefit plan fiduciary, as well as every other person who handles funds or other property of a plan (a “plan official”), be bonded if they have some discretionary control over a plan or the assets of a related trust.  While some narrow exceptions are available to this bonding requirement, these exceptions are very narrow and apply only if certain narrow criteria are met.  

Plan sponsors and other plan fiduciaries should take steps to ensure that all of the bonding requirements applicable to their employee benefit plans are met at least annually.  Monitoring these compliance obligations is important not only for the 401(k) and other retirement plans typically associated with these requirements, but also for self-insured medical and other ERISA-covered employee benefit plans.

The bonding and credentialing audit should include adopting a written policy requiring appropriate credentialing and bonding and verifying that appropriate bonds are in place for all internal personnel and outside service providers subject to the bonding requirements.  

Steps should be taken to ensure that the required fiduciary bonds are secured in sufficient amounts and scope to meet ERISA’s requirements.  In addition to confirming the existence and amount of the fiduciary bonds, plan sponsors and fiduciaries should confirm that each employee plan for which bonding is required is listed in the bond and that the bond covers all individuals or organizations that ERISA requires to be bonded.  For this purpose, the review should verify the sufficiency and adequacy of bonding in effect for both internal personnel as well as outside service providers.  In the case of internal personnel, the adequacy of the bonds should be reviewed annually to ensure that bond amounts are appropriate.  Unless a service provider provides a legal opinion that adequately demonstrates that an ERISA bonding exemption applies, plan sponsors and fiduciaries also should require that third party service providers provide proof of appropriate bonding as well as to contract to be bonded in accordance with ERISA and other applicable laws, to provide proof of their bonded status or documentation of their exemption, and to provide notice of events that could impact on their bonded status.

When verifying the bonding requirements, it also is a good idea to conduct a criminal background check and other prudent investigation to reconfirm the credentials and suitability of individuals and organizations serving in fiduciary positions or otherwise acting in a capacity covered by ERISA’s bonding requirements.  ERISA generally prohibits individuals convicted of certain crimes from serving, and prohibits plan sponsors, fiduciaries or others from knowingly hiring, retaining, employing or otherwise allowing these convicted individuals during or for the 13-year period after the later of the conviction or the end of imprisonment, to serve as:

  • An administrator, fiduciary, officer, trustee,   custodian, counsel, agent, employee, or representative in any   capacity of any employee benefit plan,    
  • A consultant or adviser to an employee benefit plan,  including but not limited to any entity whose activities are in  whole or substantial part devoted to providing goods or services  to any employee benefit plan, or
  • In any capacity that involves decision-making authority or custody or control of the moneys, funds, assets, or property of any employee benefit plan.

Knowing or intentional violation of this prohibition may expose violating party to fines of up to $10,000, imprisonment for not more than five years, or both.  Even where the violation is not knowing or willful, however, allowing disqualified persons to serve in fiduciary roles can have serious consequences such as exposure to Department of Labor penalties and personal liability for breach of fiduciary duty for damages resulting to the plan if it is established that the retention of services was an imprudent engagement of such an individual that caused the loss.  When conducting such a background check, care should be taken to comply with the applicable notice and consent requirements for conducting third party conducted background checks under the Fair Credit Reporting Act (FCRA) and otherwise applicable law.  As such background investigations generally would be conducted in such a manner as to qualify as a credit check for purposes of the FCRA, conducting background checks in a manner that violates the FCRA credit check requirements itself can be a source of significant liability.
